Terms of Use

1. Acceptance of Terms
By accessing or using Cybenta (the “Service”), operated by Cybenta, you agree to be bound by these Terms of Use. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service
Cybenta is an AI-powered sales intelligence platform. It enables sales professionals to receive real-time AI coaching via an in-meeting sidebar app or an automated bot participant, track deal qualification (MEDDPICC), and maintain an AI-searchable knowledge base. It is available via web application and a desktop application.

3. Accounts and Access
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials, all activity under your account, and notifying us immediately at support@cybenta.ai if you suspect unauthorised access. You may not share credentials, use automated tools to create accounts, or create accounts to circumvent usage limits.

4. Subscription, Trials, and Payment
The Service is offered on a subscription basis, as described at cybenta.ai/pricing. New accounts may be eligible for a free trial period; a paid subscription is required to continue after the trial. Subscriptions are billed in advance, and all fees are non-refundable except where required by law or explicitly stated. Consumers may have a 14-day right to cancel for a full refund under UK law, except after actively using the Service within that period. Seat limits, price changes (with 30 days’ notice), and cancellation rules apply. Unpaid amounts may accrue interest, and failure to pay may result in suspension.

5. Meeting Recording and Consent
You are responsible for disclosing recordings and obtaining consent from all call participants as required by law. You may not use the Service to record meetings or individuals without proper consent or for unlawful surveillance. Failure to comply may result in indemnification obligations to Cybenta.

6. Acceptable Use
You must not use the Service unlawfully, record without consent, reverse engineer, use unauthorized scripts, probe system security, access other customers’ data, transmit malicious code, resell or sublicense the Service, or impersonate others. Accounts violating these provisions may be suspended or terminated.

7. Intellectual Property
Cybenta and its licensors retain all rights in the Service. You retain ownership of content you submit, but grant Cybenta a limited, non-exclusive license to use it solely to provide the Service. AI-generated outputs from your data belong to you with certain restrictions.

8. AI-Generated Content
AI outputs are informational and may contain inaccuracies. You are responsible for independent verification.

9. Third-Party Integrations
Use of integrations is subject to third-party terms. Cybenta is not responsible for such services.

10. Data and Privacy
Your use is governed by the Privacy Policy.

11. Confidentiality
Both parties agree to confidentiality obligations for non-public information.

12. Disclaimers
Service is provided as-is. No warranties. Statutory consumer rights are not excluded.

13. Limitation of Liability
No liability for indirect damages. Aggregate liability is limited to the total of fees paid in the last 12 months or £100. Certain liabilities cannot be excluded under UK law.

14. Indemnification
You agree to hold harmless Cybenta from claims due to breach, rights violations, or failure to comply with consent requirements.

15. Term and Termination
Terms remain in effect while you use the Service. We may suspend or terminate for breach, non-payment, or security risks, with notice where practicable. Relevant provisions survive termination.

16. Force Majeure
No liability for delays due to causes beyond reasonable control.

17. Modifications to Terms
We may modify Terms with 14 days’ notice. Continued use after the effective date means acceptance of changes.

18. Governing Law and Disputes
Terms are governed by the laws of England and Wales. Disputes will be resolved informally first; otherwise, courts of England and Wales have jurisdiction.

19. General
These Terms and the Privacy Policy are the entire agreement. Severability, no waiver, assignment restrictions, and notice procedures apply.
